PART B: ADDITIONAL TERMS FOR THE ENTEGRI CONNECT PLATFORM

Applicable where you access or use the Platform

15. RELATIONSHIP TO THE PLATFORM AGREEMENTS

15.1 Access to and use of the Platform is governed principally by the Platform Agreements. This Part B supplements those agreements and does not replace them.

15.2 Where a provision of this Part B conflicts with a Platform Agreement, the Platform Agreement prevails.

15.3 Registration on the Platform requires acceptance of the Platform Privacy Policy, the Mutual Non-Disclosure and POPIA Agreement, and either the Supplier Platform Participation Agreement or the Client Platform Participation Agreement, as applicable.

16. NATURE OF THE PLATFORM

16.1 The Platform is an intermediary service. We operate the Platform and facilitate introductions between Clients and Suppliers. We are not a party to any engagement concluded between a Client and a Supplier.

16.2 We do not provide the professional services offered by Suppliers on the Platform, do not supervise their delivery, and do not endorse, guarantee, or warrant any Supplier’s competence, capacity, or performance.

16.3 Verification of a Supplier’s credentials confirms that the credential presented was checked against the issuing body’s records at the time of verification. It is not an assurance of the quality of any work performed.

16.4 Entegri Enterprises (Pty) Ltd, registration number 2013/137202/07, is a separate company that offers professional services of the kind Suppliers offer on the Platform. It is a related company of Entegri Connect and shares a director. It may register and bid on the Platform as a Supplier, on the same terms as any other Supplier, and the Client decides which Bid, if any, to accept. Where a Client accepts its Bid, the resulting Engagement is between that Client and Entegri Enterprises, and Entegri Connect is not a party to it. The conflict of interest arising from that relationship, and the safeguards that apply to it, are disclosed in the Platform Privacy Policy, in the Related Company Terms, and in the Platform Agreements.

17. BETA PHASE

17.1 The Platform is currently in a Beta Phase. Functionality may be incomplete, subject to change, or temporarily unavailable, and terms of participation may be revised on notice as provided in the Platform Agreements.

18. COOLING-OFF RIGHT FOR CONSUMERS

18.1 This clause applies only if you are a natural person entering into an electronic transaction with us as the end user of the services, and therefore a “consumer” for the purposes of Chapter VII of ECTA.

18.2 Under section 44 of ECTA you may cancel such a transaction without reason and without penalty within seven (7) days after the date of the agreement, and we will refund any payment made within thirty (30) days of cancellation. You are liable only for the direct cost of returning anything supplied to you.

18.3 Section 44 does not apply where you have expressly consented to the service commencing before the end of the seven-day period. Where you ask for immediate access to the Platform, we will ask you to acknowledge that you are doing so and that your cooling-off right falls away to the extent the service has been performed.

18.4 This clause is in addition to, and does not limit, any right you have under the CPA, or under the mandatory consumer law of your own country if you are located outside South Africa.

18.5 Clients may register as natural persons as well as juristic persons. This clause, and the CPA carve-outs in clauses 20.3, 21.4 and 27.5, apply in full. There are no fixed-term subscription contracts to check against section 14 of the CPA: no Subscription Fee is charged, to Clients or Suppliers, on the Platform.

19. LIMITATION ON INTERMEDIARY LIABILITY AND TAKE-DOWN

19.1 We act as an intermediary service provider in respect of User Content transmitted or stored on the Platform.

19.2 We do not initiate transmissions of User Content, do not select the recipient of any transmission, and do not select or modify the content of any transmission, save for formatting and display as permitted by these Terms and the Platform Agreements.

19.3 Take-down notification. Any person who believes that User Content on the Website is unlawful may submit a take-down notification in accordance with section 77 of ECTA to info@entegri.net, marked for the attention of the Information Officer. A valid notification must contain: the full names and address of the complainant; the written or electronic signature of the complainant; identification of the right allegedly infringed; identification of the material and its location on the Website; the remedial action required; the complainant’s telephone and email details; a statement that the complaint is made in good faith; and a statement that the information in the notification is true and correct to the complainant’s knowledge.

19.4 A complainant who lodges a materially false or misleading notification is liable for damages under section 77(2) of ECTA.

19.5 We will act on valid notifications within a reasonable period, and will notify the user who posted the content, who may respond. Acting on a notification is not an admission of liability and does not constitute a waiver of any right or defence.

PART C: GENERAL LEGAL PROVISIONS

20. DISCLAIMER OF WARRANTIES

20.1 To the maximum extent permitted by law, the Website and its Content are provided without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

22. INDEMNITY

22.1 You indemnify us against all claims, losses, damages, and reasonable costs arising from: your breach of these Terms; your User Content; your use of the Website in a manner not permitted by these Terms; or your infringement of any third party’s rights.

22.2 This indemnity does not apply to the extent that the claim arises from our own breach, negligence, or unlawful conduct.

22.3 Where you are a consumer, this indemnity applies only to the extent permitted by the consumer protection law applicable to you.

24. SUSPENSION AND TERMINATION

24.1 We may suspend or terminate your access to the Website, in whole or in part, where you breach these Terms or where we reasonably believe continued access poses a risk to the Website, its users, or us.

24.2 Where you hold a Platform account, suspension or termination is subject to the process in the Platform Dispute Resolution Policy and to the termination provisions of the applicable Platform Agreement.

24.3 Clauses relating to intellectual property, disclaimers, limitation of liability, indemnity, and governing law survive termination.

25. ELECTRONIC COMMUNICATIONS AND SIGNATURES

25.1 You consent to receiving communications from us electronically. Electronic communications satisfy any legal requirement that a communication be in writing.

25.2 Where these Terms or any Platform Agreement is accepted by ticking a checkbox or clicking an acceptance button, that acceptance constitutes a valid electronic signature under ECTA and is legally binding.

If you are an individual acting for purposes outside your trade, business, craft, or profession, and the mandatory consumer protection law of your country of habitual residence gives you rights that cannot be excluded by agreement, clause 27.1 does not deprive you of the protection of those rights. You may bring proceedings in the courts of your country of residence where that law so provides.
